Has more than 15 years experience in funds raising in both equity and debt international capital markets or through private placements (Europe and Africa). He assists also his institutional or private clients in the framework of their strategic transactions like capital restructuring and sale or acquisition of firms.
Maher Zaanouni’s key skills developed throughout his professional career are:
(i) financial analysis,
(ii) financial modeling for capital structuring and equity valuation,
(iii) structuring of debt and equity related transactions,
(iv) drafting of information memorandum and other transaction related presentations and
(v) support of the documentation process of funds raising and M&A transactions till their closing.
Mid-2008 Maher Zaanouni launched in Tunisia his Financial Advisory firm, Capinvest Partners, specialized in cross border M&A and fund raising transactions mainly in Africa. Mid- 2006, he joined ABN AMRO Rothschild JV for the execution of IPOs, rights and convertible issues. Jan. 2001, he joined ABN AMRO Bank and took several positions related to (i) credit and financial analysis, (ii) debt restructuring (telecoms credit crunch in 2002-2003) and (iii) structured finance in favour of European groups. Jan.1998, he joined successively Société Générale Asset Management and FITCH IBCA as Financial Analyst.
Mr. Maher Zaanouni holds the international certification of Chartered International Investment Analyst (CIIA).

Chimie Afrique
Began his career working for Chimie Afrique, a group of companies trading in industrial chemicals in West Africa and Egypt. He worked in SCOA, a Paribas Group subsidiary, until 1984. Trading in commodities, he was COO in charge of a network of agents based in Western Africa, Nigeria and China.
For the next 13 years, he held several directorships within the Suez Group and its subsidiary Société Générale de Belgique. During this period, he acquired or disposed of various subsidiaries, reorganised the trading subsidiaries of Union Minière and held a Directorship at two oil trading companies.
Mr Rouayroux was chairman of SIPH, a Paris listed group specialising in the rubber, coffee and cocoa industries in Western Africa and South-East Asia. He was also chairman of Clininvest, the second largest private hospital in France.
He was a director of the Lazard Vietnam Fund. He advised Rothschild & Co on the restructuring of an Ivorian food industry group and was a private advisor to several privatizations schemes in the African cotton industry.

Jan. 2013, Mr Elyes Hellara joined Capinvest Partners as Senior Advisor.
Mid-2011, Mr Elyes Hellara launched its business management advisory firm, E2LYS Consulting, specialised in business (re)organisation advisory and optimisation operating costs.
Jan. 2006, he headed the Advisory and Internal Due Diligence unit of Sperian Protection Group (listed), that was acquired by Honeywell in 2010. He led several external growth and integration Projects engaged by Sperian/Honeywell.
Jan. 1998, Mr Elyes Hellara joined PricewaterhouseCoopers (PwC) in Paris where he developed its expertise in Financial and Internal Due Diligence as well as in business (re)organisation and information system.
